Terms of Service

These Terms of Service ("Terms") govern access to and use of the AI WhatsApp automation service (the "Service") provided by AI Squads LLC ("AI Squads", "we", "us", or "our"). By engaging AI Squads, signing a service agreement, or otherwise using the Service, you ("Client") agree to these Terms.

1. Service description

AI Squads provides an AI-powered WhatsApp automation service, including but not limited to: configuration and operation of AI agents on Client's WhatsApp Business numbers, bilingual voice and text message handling, lead qualification, appointment routing, and related operational and support services. The specific features, message volume, and pricing applicable to Client are set out in the order form, service agreement, or written quotation that incorporates these Terms.

2. Eligibility and accounts

The Service is intended for use by businesses and their authorized representatives. By using the Service, Client represents that it has the legal authority to enter into these Terms on behalf of the business it represents and that all information provided to AI Squads is accurate and complete.

3. Acceptable use

Client agrees to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and third-party platform policies, including without limitation the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. Client will not, and will not allow any third party to:

• Use the Service to send unsolicited messages, spam, or unlawful marketing communications;
• Use the Service to distribute illegal content, content that infringes intellectual property rights, or content that is defamatory, fraudulent, harassing, or otherwise objectionable;
• Use the Service to deceive end users about the identity of the business they are communicating with;
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying infrastructure;
• Reverse-engineer, decompile, or attempt to extract the source code of the Service or any of its components; or
• Use the Service in any way that violates Meta's, WhatsApp's, or any other applicable platform's terms.

AI Squads reserves the right to suspend or terminate the Service immediately if Client breaches this section.

4. Fees and payment

Client agrees to pay the setup fees, recurring subscription fees, and any usage-based or overage fees set out in the applicable order form or service agreement. Unless otherwise agreed in writing:

• Setup fees are due upfront and are non-refundable after seven (7) days following commencement of work;
• Recurring fees are billed monthly in advance;
• Fees are stated in U.S. dollars and are exclusive of any applicable taxes, which are Client's responsibility; and
• Late payments may result in suspension of the Service.

5. Intellectual property

AI Squads retains all right, title, and interest in and to the Service, including its software, prompts, configurations, methodologies, and underlying technology. Client retains ownership of its own data, branding, and any materials it provides to AI Squads for use in the Service. Client grants AI Squads a limited license to use such materials solely for the purpose of providing the Service.

6. Confidentiality

Each party agrees to keep confidential any non-public business or technical information disclosed by the other party in connection with the Service, and to use such information only as needed to perform under these Terms or to use the Service.

7. Data and privacy

AI Squads' collection and use of information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. With respect to end-user data processed through Client's WhatsApp numbers, AI Squads acts as a data processor on behalf of Client.

8. Service availability

AI Squads will use commercially reasonable efforts to make the Service available, but does not guarantee uninterrupted or error-free operation. The Service depends on third-party providers (including WhatsApp / Meta and infrastructure providers) whose availability is outside AI Squads' control.

9. Disclaimers

EXCEPT AS EXPRESSLY STATED IN A SIGNED WRITTEN AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI SQUADS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR PURPOSE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AI SQUADS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF AI SQUADS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AI SQUADS' AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO AI SQUADS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

Client agrees to defend, indemnify, and hold harmless AI Squads, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Client's use of the Service in violation of these Terms or applicable law; (b) Client's content, instructions, or configurations; or (c) any claim by an end user or third party arising from Client's business operations.

12. Term and termination

These Terms remain in effect for the duration of Client's use of the Service. Either party may terminate the Service in accordance with the applicable order form or service agreement, or, in the absence of such terms, on thirty (30) days' written notice. AI Squads may suspend or terminate the Service immediately if Client breaches these Terms, fails to pay fees when due, or uses the Service in a manner that creates risk for AI Squads or third parties. Upon termination, Client will pay all fees accrued through the termination date.

13. Governing law and venue

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and the parties consent to the personal jurisdiction of those courts.

14. Changes to these Terms

AI Squads may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated to active clients by email or through the Service. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

15. General

These Terms, together with any order form or service agreement signed by both parties, constitute the entire agreement between Client and AI Squads with respect to the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any provision is not a waiver. Client may not assign these Terms without AI Squads' prior written consent.
